TALD LLC, doing business as TALD ( "TALD," "we," "our," or "us" ), assists individuals in researching and hiring (“Services”) client design professionals (referred to as "Service Providers"). We also offer virtual consultation services (“Services”), which are subject to the following Terms of Use. Your usage of our services is contingent upon your unaltered acceptance of all the terms and conditions outlined herein, as well as any additional operational regulations and policies published by us, both currently and in the future. Prior to accessing or utilizing our Services, please carefully review these Terms of Use. By accessing or using any aspect of our Services, you affirm your agreement to be bound by these Terms of Use. If you do not consent to any portion of this agreement, you are not permitted to access or use our Services.

1. ACCEPTANCE OF TERMS

The TALD website, which can be found at www.tald.co, along with its affiliated sites and the various content, features, and services provided on and through these platforms, are solely owned and operated by TALD. Your access and usage of these sites and services are strictly governed by the Terms of Use outlined below.

We kindly request that you carefully read and understand these Terms of Use. By accessing, downloading, or using any of the sites and services, you acknowledge and agree to be legally bound by these terms and conditions. If you do not consent to all of these terms and conditions, you are not permitted to access or use the sites and services.

2. MODIFICATIONS OF TERMS OF USE

TALD reserves the right, at its sole discretion, to make modifications to these Terms of Use at any time. Any changes will be effective upon posting the updated Terms of Use on the Sites and Services, whether or not additional notice is provided to you. It is your responsibility to regularly review the information posted on the Sites and Services to stay informed about such changes. If you do not agree to the revised terms, you must immediately cease using the Sites and Services. Additionally, you must notify TALD to remove you from any distribution lists or communication lists accessible to you through your use of the Sites and Services. By continuing to use the Sites and Services following such posting (or any other form of notification, if provided), you signify your acceptance and agreement to be bound by the modified Terms of Use.

3. USE OF THE SITE AND SERVICES

Subject to your complete adherence to these Terms of Use, TALD grants authorized users a nonexclusive, non transferable, non-sublicensable, and revocable license to access and utilize the Sites and Services for personal use only. You agree not to access, reproduce, duplicate, copy, sell, re-sell, modify, distribute, transmit, or exploit the Sites or Services, including their content, for any purpose other than personal use and as expressly permitted by these Terms of Use, unless you obtain the explicit written consent of TALD.

TALD reserves the right to modify, update, suspend, or discontinue the Sites and Services, either partially or entirely, at our sole discretion, with or without reason, and at any time, with or without notice. TALD shall not be held liable to any user or third party for any such modifications, updates, suspensions, or discontinuations.

4. USER CONDUCT

By accessing and using the Sites and Services, as well as submitting or accessing any content, such as ratings, reviews, communications, information, data, text, photographs, audio clips, audiovisual works, or other materials (collectively referred to asContent), you acknowledge and agree to comply with the following conditions. You are not permitted to use the Sites and Services for any unlawful or prohibited purposes as outlined in these Terms of Use, nor for any purpose not reasonably intended by TALD.

As examples, but not limited to these examples, you agree not to:

  • Violate these Terms of Use, any other applicable agreements with TALD, or any local, state, national, or international laws and regulations.
  • Use the Sites and Services in a way that infringes, misappropriates, or violates the rights of any third party, including transmitting Content that may violate a third party's licenserights of publicity, contractual rights, fiduciary rights, or intellectual property rights.
  • Use the Sites and Services or their Content for unauthorized purposes, including commercial, political, or religious purposes. This includes submitting or transmitting Content that contains advertisements, promotional materials, junk mail, or any form of solicitation.
  • Reproduce, duplicate, copy, modify, sell, resell, or exploit any Content or the Sites and Services for any commercial, educational, or non-personal purpose unrelated to your personal purchasing decisions, without the express written consent of TALD, which may be withheld at TALD's sole discretion.
  • Post irrelevant Content, repeatedly post the same or similar Content, or impose an unreasonable or disproportionately large load on the infrastructure of the Sites and Services, or interfere with their proper functioning.
  • Harass, threaten, intimidate, impersonate, falsify contact information, misrepresent relationships, including misrepresenting a relationship with TALD, or mislead others about the sender's identity or the origin of a review or rating.
  • Knowingly provide or submit false or misleading information.
  • Use the Sites and Services if you are under the age of eighteen (18).
  • Take actions that undermine the review and rating process on the Sites and Services.
  • Attempt to gain unauthorized access to the Sites and Services, other user accounts, or computer systems or networks connected to the Sites and Services.
  • Interfere with the rights of TALD or other users of the Sites and Services.
  • Attempt to gain unauthorized access to any part of the Sites and Services, servers used by TALD, or other systems or networks connected to the Sites and Services, using hacking, password mining, or any other unauthorized means.
  • Transmit or submit any encrypted transmission or materials containing viruses, Trojan horses, worms, time bombs, spiders, cancelbots, or other computer programming routines intended to damage, interfere with, disrupt, impair, disable, or overburden the Sites and Services.
  • Access, download, monitor, or copy information from the Sites and Services through artificial means or any automated or manual process not intentionally provided by the Sites and Services.
  • Probe, scan, or test the vulnerability of the Sites and Services or any network connected to them, or breach their security or authentication measures.
  • Seek to trace information about other users or customers of TALD, including any TALD account not owned by you, or exploit the Sites and Services or any service or information available through them to reveal any information other than your own, except as expressly authorized by TALD and provided for by the Sites and Services.

5. TALD’S SERVICES

When you use, access, or purchase specific services or features of the Sites and Services, you are bound by any agreements, guidelines, or rules that are posted and applicable to those particular services or features. These agreements, guidelines, or rules may be updated and posted periodically. It is important to note that all such agreements, guidelines, or rules are incorporated by reference into the Terms of Use and should be followed accordingly.

6. REGISTRATION INFORMATION

In order to access certain parts of the Sites and Services, as well as use specific products and features, it may be necessary for you to create an account. To do so, you may be required to provide login information such as a username and password. By using the Sites and Services, you agree to the following:

(a) Provide TALD with accurate, current, and complete information as prompted by the registration forms or when using the Sites and Services.

(b) Ensure that the information you provide remains truthful, accurate, and complete by updating it as necessary.

You are responsible for maintaining the confidentiality of your password and any other account information that is not generally available to others. You are fully accountable for all activities that occur under your username and password. While there may be valid reasons for creating multiple accounts, creating multiple accounts in a sequential or overlapping manner may result in the termination of your accounts. 7. ELECTRONIC COMMUNICATIONS

By using the Sites and Services, you give your consent to receive electronic communications from TALD. These communications may include notices that are posted on the TALD website or sent to you via email. If you have opted in, you may also receive text message communications.

These electronic communications may pertain to various matters, such as applicable fees and charges, transactional information, and other details related to your use of TALD and/or the purchase of Consultations. It is important to note that these communications are an integral part of your relationship with TALD.

You acknowledge and agree that any notices, agreements, disclosures, or other communications provided to you by TALD electronically satisfy all legal requirements, including the need for such communications to be in writing.

8. SUBMITTING CONTENT

By submitting any Content or materials to the Sites or Services, you agree to the following conditions:

  • You grant TALD a royalty-free, perpetual, irrevocable, worldwide, non-exclusive, transferable, and sublicensable license to use, reproduce, copy, adapt, modify, merge, distribute, publicly display, and create derivative works from the Content. This includes incorporating the Content into other works.
  • You grant TALD the rights necessary to publish or choose not to publish your name and address in connection with the Content. You acknowledge that this license cannot be terminated by you once the Content is submitted.
  • You grant TALD the rights necessary to prohibit the aggregation, display, copying, duplication, reproduction, distribution, or exploitation of your Content by any other party.
  • Your name and report information may be made available to the public and to the Service Providers on which you report.
  • You represent that you own or have obtained all necessary legal rights for the use of the submitted Content by you, TALD, and others as described in these Terms of Use.
  • You represent and warrant that any individuals identified, depicted, or shown in your Content (including minors, with the consent of their parent or guardian) have provided consent for the use of the Content as described in these Terms of Use.
  • You are solely responsible for your reviews and ratings.
  • TALD may, at its sole discretion, choose whether to remove or retain reviews and ratings once published.
  • You will not submit reviews that may be considered infringing, harassing, libelous, abusive, threatening, obscene, profane, hateful, offensive, harmful, vulgar, distasteful, defamatory, or in violation of any relevant laws or rights of others.
  • Your reviews and ratings will be based on your actual first-hand experiences with the Service Providers being reviewed.
  • Your reviews and ratings of the Service Providers will be accurate, honest, truthful, and complete.
  • You have not received any form of compensation for posting reviews and ratings.
  • You will provide thorough and thoughtful reviews of the Service Providers you are reviewing.
  • You will not submit reviews that comment on other users or their reviews.
  • You will not include hyperlinks in your reviews.

9. PUBLICATION AND DISTRIBUTION OF CONTENT

TALD does not guarantee the accuracy, integrity, quality, or appropriateness of any Content transmitted through the Service. TALD acts as a passive conduit and interactive computer service provider for the publication and distribution of Content, including Service Provider Content. The responsibility for the Content and Service Provider Content lies solely with the originator of such Content. TALD does not control or assume responsibility for the Content or Service Provider Content made available through the Service. By using the Service, you may be exposed to Content that is inaccurate, misleading, or offensive. You acknowledge that you must evaluate and assume all risks associated with the use of any Content and Service Provider Content.

TALD has no obligation to screen, monitor, or approve any Content or Service Provider Content. However, TALD reserves the right to review and delete any Content that violates the terms and conditions of this Agreement. You are solely responsible for evaluating the risks associated with the use, accuracy, usefulness, completeness, or appropriateness of any Content you submit, receive, access, transmit, or otherwise convey through the Service. TALD shall not be liable for any Content or Service Provider Content, including any errors, omissions, defamatory statements, or disclosure of confidential or private information contained therein. By using the Service, you waive the right to bring any claim against TALD related to Content or Service Provider Content and release TALD from any liability associated with such Content or Service Provider Content.

TALD may establish general practices, policies, and limits regarding the use of the Sites and Services, which may include retention periods for reviews and ratings, limits on the number of reviews and ratings sent from an account, the length of reviews and ratings, and the frequency and duration of accessing the Sites and Services. TALD bears no responsibility or liability for the deletion or failure to store any Content or other materials transmitted through the Sites and Services. TALD reserves the right to change these general practices and limits at any time, with or without notice, at its sole discretion.

TALD does not endorse or assume responsibility for any Content, data, advertising, products, goods, or services provided by third parties or Service Providers. Your use or reliance on such third-party or Service Provider offerings is at your own risk, and TALD shall not be liable for any damages or losses resulting from such use or reliance. Any dealings or interactions with Service Providers, including the terms, conditions, representations, or warranties associated with such dealings, are solely between you and the Service Provider.

TALD may provide links or direct you to third-party or Service Provider websites, but it does not operate or control these external sites. Your use of these third-party or Service Provider websites and any information provided therein is subject to the respective policies and terms of those parties. It is your responsibility to review and comply with their policies, including privacy policies. TALD is not responsible for the content, advertising, goods, or services provided on or through these external websites, nor for any loss or inability to use such websites. TALD does not guarantee the security of any information you provide on third-party or Service Provider sites, including personal and credit card information.

You agree that TALD is not responsible for the accessibility or availability of any Service Provider or for your interactions and dealings with them. You release TALD from any liability related to interactions or dealings with Service Providers..

11. THIRD PARTY INTEGRATIONS

TALD may allow you to use designated third-party products, services, and applications ("Third Party Integrations"), which are subject to separate terms and conditions set by the respective service providers. These Third Party Integrations are not owned, controlled, or operated by TALD. Your use of Third Party Integrations is governed by the terms of service and privacy notices of the third-party providers. You are responsible for reviewing and complying with the applicable terms of service and privacy policies for Third Party Integrations

12. TERMINATION

TALD has the right to terminate your access and use of the Sites and Services at any time and without prior notice, for any reason whatsoever. In the event of such termination, you must immediately stop accessing and using the Sites and Services, and you agree not to attempt to access or use them again. You acknowledge that TALD reserves the right to take any necessary action, including technical or legal measures, to block, nullify, or deny your access to the Sites and Services. TALD may exercise this right at its sole discretion, in addition to any other rights and remedies available to TALD.

Any provisions in these Terms of Use that should naturally survive termination will continue to be in effect, including provisions regarding ownership, warranty disclaimers, indemnity, and limitations of liability.

13. WARRANTIES AND DISCLAIMERS

TALD has no control over or duty to take action regarding users'access to or use of the Sites and Services, the effects of content on users, how users interpret or use the content, or the actions users may take as a result of being exposed to the content. You release TALD from any liability related to your acquisition or non-acquisition of content through the Sites and Services.

TALD does not make representations regarding the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Sites and Services.

The Sites and Services may contain offensive or inappropriate information, and TALD assumes no responsibility for such content. TALD does not guarantee the reliability, accuracy, timeliness, or completeness of any information and is not liable for any errors or omissions therein.

You access and use the Sites and Services at your own risk. They are provided on an "as is, as available" basis without warranties of any kind, including merchantability, fitness for a particular purpose, or non-infringement. TALD, its affiliates, employees, agents, and third-party content providers are not liable for any loss resulting from the use or unavailability of information or content on or in connection with the Sites and Services. This includes lost profits, data loss, and any direct, indirect, special, consequential, compensatory, or incidental damages, even if advised of the possibility of such damages. TALD disclaims responsibility for any damage or injury resulting from negligence, computer viruses, telecommunications errors, or unauthorized access to user information.

TALD is not liable for the actions or omissions of third parties that may affect the Sites and Services. TALD and its directors, officers, affiliates, agents, employees, assigns, and third-party content providers are not liable for any tortuous or illegal conduct of other users. TALD and its affiliates, agents, employees, or assigns are not liable for any damage to equipment, hardware, or other property, or personal injury arising from the use of the Sites and Services.

Any material accessed or obtained through the Sites and Services is at your own discretion and risk. You are solely responsible for any damage to your computer system or loss of data resulting from the download of such material. Any advice or information obtained from TALD or through the Sites and Services does not create any warranty unless expressly stated in the Terms.

Except as expressly provided in the Terms, TALD does not guarantee that the Sites and Services will be uninterrupted, timely, secure, or error-free, or that the quality of any products, services, information, or other material obtained through the Sites will meet your expectations. TALD may remove or cancel the Service without notice for indefinite periods of time.

TALD will make reasonable efforts to protect information you submit in connection with the Services, but you acknowledge and agree that submitting such information is at your own risk, and TALD disclaims any liability for any loss or liability related to such information.

The Sites and Services may display links to other internet sites or resources. TALD is not responsible for the availability of such external sites or resources and does not endorse or assume responsibility for any content, advertising, products, or materials available from such sites or resources. TALD is not liable for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through such sites or resources.

14. INDEMNITY

You agree to indemnify, defend, and hold harmless TALD, its officers, managers, owners, employees, agents, designees, users, successors, assigns, service providers, and suppliers from any and all losses, liabilities, expenses, damages, claims, demands, and costs, including reasonable attorneys' fees and court costs, arising from or related to: (a) your violation of these Terms of Use; (b) the provision of inaccurate or untruthful content or information by you to TALD or through the Service; or (c) any intentional or willful violation of the rights of another person or any harm caused by you to another person. TALD will have exclusive control over the defense of any such damage or claim.

15. LIMITATIONS OF LIABILITY

You understand and agree that TALD will not be liable for any damages, including direct, indirect, incidental, special, punitive, compensatory, consequential, or exemplary damages, resulting from various factors including (but not limited to): (A) the use or inability to use the Service; (B) the cost of any goods or services obtained through the Service; (C) unauthorized access or alteration of your information or content; (D) content you submit, receive, access, transmit, or otherwise convey through the Service; (E) statements or conduct of Service Providers or other third parties through the Service; (F) any other matter relating to the Service; (G) any breach of this agreement by TALD or TALD'sfailure to provide the Service under this agreement; or (H) any other dealings or interactions you have with Service Providers or their representatives or agents. These limitations apply to the fullest extent permitted by law. In certain jurisdictions, limitations of liability may not be permitted, and in such cases, some of the aforementioned limitations may not apply to you.

You acknowledge and agree that TALD contracts with a third-party Credit Card Processor to handle your payment of membership fees and virtual consultation fees to TALD. You understand and agree that neither the Credit Card Processor nor any other party involved in the credit card processing process for TALD, including the credit card issuing company and the merchant bank (collectively referred to as the Released Parties), shall be liable for any damages suffered by you as a result of TALD'sfailure to provide services under this agreement or any breach of this agreement by TALD. You release each of the Released Parties from any and all damages you may suffer due to TALD's failure to provide services or any breach of this agreement. Furthermore, you agree to indemnify and hold harmless each of the Released Parties from any damages they may suffer as a result of your breach of this section.
